Terms & Conditions and Licensing Agreement

1. Payment
     • Full payment is required no later than 48 hours before the scheduled shoot.
     • Bookings are not confirmed until payment is received.
     • Late payments may result in cancellation or rescheduling at the photographer’s discretion.
     • Upon full payment, applicable usage licenses (personal or commercial) are granted as outlined in Section 2.2. Usage Rights and Licensing
2.1 Personal Use (Portraits, Events, Pet Sessions)
     • Clients receive a perpetual, non-exclusive, non-transferable license to use delivered images for personal, non-commercial purposes only (e.g., social media, personal prints, digital archiving).
     • Images may not be sold, altered for resale, or used in merchandise, NFTs, or commercial contexts without additional licensing.2.2 Standard Commercial Use (Products, Business, Events)
     • Clients receive a perpetual, non-exclusive, worldwide license to use delivered images for marketing, advertising, and selling their products or services.
     • Permitted uses include websites, e-commerce listings, print materials, social media, and digital advertising.
     • Prohibited uses include resale, sublicensing, transfer to third parties (distributors, retailers, partners), inclusion in stock libraries, NFTs, or AI training datasets without written consent.
     • Clients may not alter images beyond standard cropping, resizing, or minor adjustments without prior approval.2.3 Optional Upgrades
     • Exclusive Usage License: For an additional fee (minimum +50% of project fee), the Client may purchase exclusive commercial usage rights. The Photographer will not license or sell the same images to competitors within the Client’s industry. The Photographer retains copyright and may still use the images for portfolios, social media, promotional materials, and non-commercial purposes.
     • Copyright Transfer / Buyout: For an additional fee (minimum +100% of the project fee), the Client may purchase full copyright ownership. Upon transfer, the Client assumes all reproduction, resale, and derivative rights, as well as liability and responsibility for the images. The Photographer relinquishes all licensing rights but retains copyright and may still use the images for portfolios, social media, promotional materials, and non-commercial purposes.3. Restrictions
     • Clients may not sell, alter, or distribute images for direct profit (e.g., prints, NFTs, merchandise) without written permission.
     • Credit to the photographer is appreciated for online use but not required unless specified in contract.4. Intellectual Property
     • All images remain the intellectual property of the Photographer under U.S. copyright law unless a copyright transfer has been negotiated.
     • Licensing agreements grant usage rights only and do not transfer copyright ownership by default.
     • The Photographer retains the right to display images in portfolios, websites, competitions, educational materials, and other promotional contexts unless an exclusive or copyright buyout agreement states otherwise.5. Cancellations & Rescheduling
     • Cancellations made more than 48 hours before the shoot are eligible for a refund minus a 20% cancellation fee.
     • Cancellations made within 48 hours of the scheduled shoot are non-refundable.
     • Rescheduling is permitted once with at least 48 hours notice, subject to availability.
     • Additional rescheduling requests beyond the first will incur a $100 rescheduling fee per instance, and must be made at least 48 hours in advance. Reschedules within 48 hours will be treated as cancellations.6. Image Delivery
     • Edited images will be delivered via private digital gallery within the timeline specified in your package agreement.
     • Unedited RAW files will not be provided.7. Image Retouching
     • Each session includes up to 3 retouched images at no extra cost.
     • Retouching includes adjustments such as light blemish removal, skin smoothing, color correction, and basic object clean-up.
     • Additional retouching beyond the first 3 images will be billed at $40 per image.
     • Requests for advanced edits (e.g. major background alterations, body reshaping, complex object removal) may be subject to a custom quote.
     • All retouching requests must be submitted within 7 days of image delivery. Requests made after this window may incur additional processing fees.
     • Turnaround time for retouching is typically 2–7 business days, depending on the scope and queue.8. Liability
     • The photographer is not liable for circumstances beyond control (weather, client tardiness, etc.) affecting image quality or session duration.
     • In the rare event of equipment failure or unforeseen issues, liability is limited to a full refund or rescheduled session.
